Terms:


The APR for balance transfers is 0% for 12 months from date of account opening. After the promotional period ends, your standard balance transfer APR will be applied to any unpaid balances. As of May 25, 2006, the standard variable purchase and balance transfer APR is 13.99%. The standard variable cash advance APR is 22.99%. However, all your APRs may automatically increase up to the 31.99% variable default rate if you default under any Card Agreement that you have with us. Min. finance charge: $0.50. For each purchase made in a foreign currency, we add an additional FINANCE CHARGE of 3.0% of the amount of the purchase after its conversion into U.S. dollars. This foreign currency transaction fee will be added to the appropriate purchase balance with the foreign currency purchase. The foreign currency transaction fee may cause the annual percentage rate on the billing statement on which the purchase made in a foreign currency first appears to exceed the nominal annual percentage rate. The transaction fee for cash advances is 3% of the amount of each cash advance, $5 minimum. The transaction fee for balance transfers is 3% of the amount of each balance transfer, $5 minimum, $50 maximum. However, there is no balance transfer transaction fee on balances you transfer in response to this offer. The annual membership fee is $0 for the first year, $75 thereafter.

As a member ("you") of the CitiBusiness PremierPassSM Card ("Card"), you will earn two ThankYou Select Spend Points ("ThankYou Select Spend Points") plus one ThankYou Purchase Point ("ThankYou Purchase Points") for every dollar you spend at office supply merchants and on professional services and one ThankYou Purchase Point for every dollar you spend on all other purchases. (Unless otherwise specified, all references to ThankYou Purchase Points include ThankYou Select Spend Points and ThankYou Special / Bonus Points.) In addition, you will earn one ThankYou Flight Point ("ThankYou Flight Points") for every mile flown when airline tickets are purchased. The total number of ThankYou Purchase and ThankYou Flight Points (" ThankYou Points") that may be earned on your Card is 200,000 per calendar year (eligible purchases appearing on your January-December billing statements), only 100,000 of which may be ThankYou Flight Points. Unless otherwise specified, the calendar year limit will include any ThankYou Select Spend, ThankYou Special / Bonus, and ThankYou Flight Points you may be eligible to receive.

Office supply merchants are defined as stand-alone merchants that primarily sell stationery and office supplies for business consumption. Professional services are defined as stand-alone tax preparation, accounting, bookkeeping, and legal services providers that provide their respective services to businesses.

Purchases not eligible to receive ThankYou Select Spend Points include, but are not limited to, purchases made at warehouse clubs, discount stores, department stores and convenience stores. In addition, online, catalog, mail order and telephone purchases are not eligible to receive ThankYou Select Spend Points unless the merchants identify the transactions as being made at an office supply, tax preparation, accounting, bookkeeping, or legal service provider. We do not determine whether merchants correctly identify and bill transactions as being made at office supply, tax preparation, accounting, bookkeeping, or legal service provider. However, we do reserve the right to determine which purchases are eligible to receive ThankYou Select Spend Points.

ThankYou Flight Points are earned for miles flown based on the city of origin and the city of destination provided to us when an airline ticket is purchased. We will determine how many ThankYou Flight Points will appear on your billing statement based upon airline travel distance information published by OAG Worldwide, Inc., our source of independent flight schedule information, unless we tell you otherwise. ThankYou Flight Points will appear on your billing statement approximately six to eight weeks following the initial departure date of travel referenced on your airline ticket transaction.

If you are approved for a Card Account, we will set up a ThankYou Network Member Account (“ThankYou Member Account”) for you. We will transfer ThankYou Purchase Points that appear on your billing statement to your ThankYou Member Account at the close of each billing cycle. We will transfer ThankYou Flight Points that appear on your billing statement to your ThankYou Member Account at the close of each billing cycle when we transfer, or have previously transferred an equal or greater number of ThankYou Purchase Points. ThankYou Points are not eligible for redemption until they are transferred to your ThankYou Member Account.

ThankYou Points will not expire as long as you have qualifying purchase activity at least once every three calendar years unless we terminate ThankYou Network, in which case you will have only 90 days from the ThankYou Network termination date to redeem all your accumulated ThankYou Points.

You may earn ThankYou Points as long as your Card Account is open and current. If your Card Account is closed, you will not be able to earn ThankYou Points. Unless you reopen such Card Account within 90 days of closure, you will lose any accumulated ThankYou Points that have not been transferred to your ThankYou Member Account.

Balance transfers, cash advances, convenience checks, returned purchases, disputed or unauthorized purchases/fraudulent transactions, finance charges and Card Account fees do not earn ThankYou Purchase Points unless otherwise specified. ThankYou Purchase Points (not including ThankYou Select Spend and ThankYou Special / Bonus Points) will appear on your billing statement at the close of each billing cycle. ThankYou Select Spend and ThankYou Special / Bonus Points may take one to two additional billing cycles to appear on your billing statement.

We may revise any of the terms and conditions with 30 days’ prior written notice. However, we may change or substitute rewards, as well as adjust the total ThankYou Point levels required for specific rewards, at any time without prior notification. All rewards are subject to availability.

Purchases made with an additional employee card will earn ThankYou Points that will accrue to the account of the Authorized Officer. ThankYou Points can only be redeemed by the Authorized Officer, but may be used for another person.
