Terms of online bill bonus:


Open a new Compass checking account and sign up for Online Bill Pay by 2/28/09
Pay at least 5 bills online every 30 days for the first three months your account is open
For each month that you do, you'll get $25 — up to $75 total

Terms of the direct deposit bonus:

Compass Bank is a Member FDIC. This Direct Deposit offer cannot be combined with $75 Online Bill Pay offer. Deposit accounts are subject to approval. Minimum $100 opening deposit required. Account opened between 01/05/2009 and 02/28/2009 that establish a recurring payroll direct deposit within the month following the account open date will receive $75. Accounts opened prior to 01/05/2009 that establish a recurring payroll direct deposit by 03/31/2009 will receive $25. Deposit will occur within 120 days of first recurring payroll direct deposit in the checking account that receives the recurring payroll direct deposit. Account must be open at time of reward. Terms of the automatic savings transfer bonus:

This is a complicated offer with twists and turns and at least 1 sneaky surprise. You can do "Most" everything online - open accounts, various transactions etc. But they will not allow you to close an account online - OR BY MAIL OR BY PHONE. You have to visit a branch ! If the accounts are all no minimum balance required,that may not be a problem, but I always wonder what other surprises may be lurking in the fine print and policies they have hidden from their offer. So, if you're not near a branch, better check this bank out thoroughly.

I disagree. If you want to close the account, simply ACH the funds to another bank which you have an account with. All banks automatically close accounts which have a zero balance and no activity for 90 days.

I see there is also a direct deposit bonus of $75. Can I use ING to qualify this direct deposit?

Also, for the online bill pay, is it possible to pay to my friend istead of unitily bill?

You could try to set-up a payee with an address of your another bank and payee name
"Bank Name / FBO {Your Name}" and account number in that another bank

Here is an explanation of such a check format from Ameritrade website:
